A few years ago I asked a friend of mine who is an accountant to form a uk limited company on my behalf, and asked him to hold all the shares in his name until I had raised all the capital required for the business. He did not ever issue the shares to me and now he and his wife claim that the Ltd UK company is 100% owned by them. What can I do?

Furthermore his wife agreed to invest in the idea and in return for initial research and development funding supplied by her, I agreed to give her 25% of the shares in the future company once the project was viable. there was no written agreement, only verbal between the parties.

I am devastated that this has happened! Can someone advise me what to do. Thanks.ZEEZEE
